Notice of Special Meeting of Members

Date & Time: 6:30 pm Tuesday, 9 August 2022

Location: Meraloma Clubhouse, 2390 W. 10th Ave, Vancouver

Agenda: Proposed changes to Club Bylaws

Rationale: The current club bylaws produce an anomaly in membership status in particular for our Spring/Summer Sports. Also, we wish to align our date of the annual general meeting (AGM) with the requirements of the BC Societies Act. We are proposing 3 bylaws changes to the existing bylaws to correct this anomaly and provide flexibility to the selection of the AGM date. Currently, the fixed date sets an unreasonable deadline for our financial reporting. These changes require resolutions to be approved by the membership of the club.

Current bylaws to be amended:

Bylaw #2: ““Executive” means the board of directors and officers of the society.”

Bylaw #5: “Membership dues shall be annual dues payable on the first day of each fiscal year.”

Bylaw #12: “The annual general meeting shall be held in the month of October of each year.”

RESOLUTION 1: Be it resolved that the bylaw #2 of the Meraloma Club be amended to read as follows:

2.        “Executive” means the board of directors and officers of the society;

“Sport Section Start Date” for an Approved Sport Section or a Probationary Sport Section means a 12 month period beginning on the first day of the month of an Approved or Probationary Sport Section’s season. Each sport section will set its start of season date pursuant to the Sport Section policy as set by the Executive;

“Approved Sport Section” means a sport section that meets and maintains compliance with the criteria determined under the Sport Section policy as set and approved by the Executive;

“Probationary Sport Section” means a sport section that meets and maintains compliance with the criteria determined under the Sport Section policy as set and approved by the Executive, and have not yet received approved status.

RESOLUTION 2:

Be it resolved that the bylaw #5 of the Meraloma Club be amended to read as follows:

5.           “Membership dues for Social or Alumni memberships shall be annual dues payable on the first day of each fiscal year. Membership dues for Adult Playing Members and Junior Playing Members shall be payable on the first day of the respective sport section year and shall apply for a 12 month period from the Sport Section Start Date of the sport section to which the playing member is adhered. Annual dues for membership categories will be set by the Executive as described in the society’s Membership policy.”

RESOLUTION 3:

Be it resolved that the bylaw #5 of the Meraloma Club be amended to read as follows:

12. “The annual general meeting shall be held within 6 months of the fiscal year end.”
